Abbott's net earnings nearly halved in the second quarter, but the operating business did not break. Sales rose 13.0% to $12,593 million — though only 4.8% on Abbott's comparable basis, with Exact Sciences and a weaker dollar supplying nearly all of the rest — and the four segments grew combined operating earnings 9.8% to $3,218 million. Net earnings attributable to Abbott still fell 47.8% to $928 million from $1,779 million, and GAAP diluted EPS came in at $0.53 against adjusted EPS of $1.31 (Abbott second-quarter release, July 16, 2026). The entire gap sits below the operating line — interest on $20.0 billion of new bonds, higher intangible amortization, deal charges, and a much heavier tax burden from the $20.6 billion Exact Sciences acquisition that closed March 23, 2026. The question is not whether the quarter was weak, but how much of that drag is permanent. Management's own answer — a raised full-year adjusted EPS range of $5.45 to $5.60, up from $5.38 to $5.58 — says most of it is not.


1. Balance Sheet — A $22.5 Billion Expansion, Almost All Acquired

Total assets grew $22.5 billion in six months, and goodwill plus net intangibles account for $22.9 billion of that — more than the whole increase, because cash shrank at the same time. The preliminary purchase price allocation splits the $20.6 billion price into $12.8 billion of acquired intangibles, $11.2 billion of goodwill and $0.4 billion of net tangible assets, less $2.0 billion of deferred income taxes recorded at acquisition and $2.0 billion of net debt assumed. Abbott paid $105 per share in cash for intellectual property and market position, not factories. The allocation is preliminary, and Abbott warns that differences between the preliminary and final numbers could be material.

That composition drives future earnings. Gross amortizable intangibles rose $12.3 billion to $39.8 billion, and Abbott guides amortization of roughly $2.6 billion in 2026, $2.3 billion in 2027, $1.8 billion in 2028, $1.7 billion in 2029 and $1.5 billion in 2030. First-half amortization was $1,080 million, so the heaviest drag lands in the second half of 2026 and then eases every year. A further $1.7 billion sits in indefinite-lived in-process R&D, up from $1.2 billion, which is not amortized but must be tested for impairment.

Cash fell 40.1% to $5,104 million, funding the cash portion of the deal and repayment of $2.8 billion of assumed Exact Sciences debt. Receivables grew 8.4%, slower than the 10.5% six-month sales increase, with days sales outstanding near 62 days ($8,599M against $12,593M of quarterly sales on a 91-day quarter). Inventories rose 12.7%, faster than sales, but the acquisition added stock with no prior-period counterpart, so the build is not directly comparable.

1-2. Debt Structure — Financial vs. Operating Liabilities

Long-term debt rose 199.1% to $29,603 million. Adding the $3,005 million current portion, gross financial debt reached $32,608 million against $12,929 million at year-end, up 152.2%. Net of cash and short-term investments, net debt went from $3,990 million to $27,005 million — close to seven times higher. Debt to total equity moved from 24.5% to 63.0%.

The maturity profile is the redeeming feature. The March 2026 issuance carries no maturity before 2029: $3,250 million due 2029 (of which $1,000 million is floating-rate, at SOFR plus 50 basis points), $2,500 million in 2031, $2,750 million in 2033, $3,750 million in 2036, $2,000 million in 2038, $3,750 million in 2056 and $2,000 million in 2066. The weighted average coupon on the $19,000 million of fixed-rate tranches is about 4.68%, and 28.7% of the raise extends to 2056 or later. So Abbott has long money and no near-term refinancing wall.

It was not free, and the draft-stage claim that the ratings were untouched is wrong: S&P Global Ratings downgraded Abbott one notch, to A+ from AA-, effective March 24, 2026 — the day after the deal closed. The 10-Q states the post-downgrade position, A+ from S&P and Aa3 from Moody's, and says Abbott expects to maintain an investment grade rating. Nor is the coupon as fixed as the tranche table suggests: on top of the $1.0 billion floater, interest rate hedge contracts that swap fixed obligations into variable rates expanded from $1.2 billion to $4.2 billion of notional. Roughly $4.0 billion of the raise — about a fifth — is effectively floating.

Operating liabilities grew with the larger business: trade payables up 13.1% to $4,794 million, and other accrued liabilities up 18.6% from $5,812 million to $6,892 million on deal and legal accruals. Total current liabilities rose 8.0% to $17,814 million. Working capital fell from $9.5 billion to $6.7 billion.

1-3. Capital Structure

Total shareholders' investment fell 1.9% to $51,762 million even as assets grew a quarter. The deal was debt-funded, so none of the asset growth accrued to equity.

The retained earnings line is the telling detail. "Earnings employed in the business" ended June at $49,794 million against $49,781 million at January 1 — up $13 million in six months. Net earnings of $2,005 million were more than consumed by $2,196 million of declared dividends, with $204 million of share-transaction effects closing the gap. Abbott distributed more than it earned in the first half. Treasury stock rose $790 million net to $17,967 million, and accumulated other comprehensive loss widened $211 million to $6,212 million.


2. Income Statement — Growth Above the Line, Damage Below It

Source: 10-Q Note 15, Segment Information. Segment operating earnings are Abbott's internal measure. They exclude intangible amortization and corporate costs and are not prepared under GAAP, so the reconciliation above is what turns them into a reported number. That also means the reconciliation is partly definitional: interest, amortization, corporate costs and Other, net can never sit inside segment profit by construction.

With that caveat, the arithmetic is unambiguous. Segment operating earnings rose $286 million in the quarter while the five reconciling items worsened by $912 million, from $782 million to $1,694 million. The $626 million difference is exactly the fall in pretax earnings. Over six months, segment profit improved $530 million against a $1,485 million deterioration below the line, producing the $955 million pretax decline. None of the pretax deterioration came out of the segments' own profit lines — which is not the same as saying nothing operating got worse. Nutritionals lost 1.7 points of margin in the quarter and Diagnostics 1.0 point (§2-3); group segment margin slipped from 26.3% to 25.6%.

Two drags recur and two do not. Net interest expense, up $249 million to $299 million, is permanent — the quarterly run rate implies roughly $1.2 billion annually against about $200 million before the deal. Amortization, up $238 million, is contractual but declines after 2026 on the published schedule. Against that, Other, net of $524 million (acquisition costs, legal reserves, restructuring) and $321 million of first-half share-based compensation from cash-settling Exact Sciences equity awards are transaction artifacts that should not repeat at this scale.

Tax did the rest. The gap between pretax earnings and earnings attributable to Abbott widened from $371 million to $596 million in the quarter, or from 17.3% to 39.1% of pretax earnings; over six months, from 21.0% to 32.6%. (That spread is tax plus non-controlling interests, not the statutory effective rate.) Abbott attributes part of it to roughly $440 million of first-half tax expense tied to a deferred tax asset recognized as a non-cash benefit in an earlier year, against $300 million a year ago, plus about $60 million of net expense from resolving prior-year positions where 2025 carried a $90 million benefit. Excess tax benefits from share-based awards also shrank, from $84 million to $18 million (10-Q Note 14).

Share count did not distort the result. Shares outstanding were 1,730.4 million at June 30, 2026 — 1,998.3 million issued less 267.9 million in treasury — against 1,736.6 million at December 31, 2025, down 0.36% in six months. The 10-Q balance sheet gives no June 2025 count, so no year-on-year share comparison is available from the filing. Per-share earnings fell for essentially the same reason total earnings fell: GAAP diluted EPS of $0.53 for the quarter, against adjusted EPS of $1.31.

2-2. Operating Leverage and Cost Mix

Sales grew 13.0% while segment operating earnings grew 9.8% — leverage of about 0.75 times, meaning profit grew more slowly than revenue. The cause is operating expense, not unit cost.

On the segment basis, cost of products sold improved to 41.7% of sales from 42.8%, while R&D and SG&A together rose to 32.7% of sales from 30.9% (segment R&D of $840 million and SG&A of $3,275 million on $12,588 million of segment sales, against $681 million and $2,756 million on $11,137 million). Reported figures are bigger because they include costs not charged to segments: R&D rose $167 million, or 23.0%, to $892 million, lifting reported R&D intensity to 7.08% from 6.51%, and SG&A rose $934 million, or 30.3%, to about $4.0 billion — ~39.0% of sales together, from 34.2%. Both baskets reflect the acquired business plus integration spending, higher legal reserves and selling investment.

Note where the dilution is and is not. Gross margin was 52.5% against 52.7%; since Abbott excludes intangible amortization from cost of products sold, that 0.2-point decline is not attributable to amortization but to unallocated overhead costs.
