CSX traces its lineage to the Baltimore and Ohio, chartered in 1827 as the first common-carrier railroad in the United States, and to other historic eastern systems including the Chesapeake and Ohio, Seaboard, and Atlantic Coast Line. The modern holding company was formed in 1980 through the merger of the Chessie System and Seaboard Coast Line Industries. Through the 1980s and 1990s it divested non-rail businesses, including its container-shipping arm Sea-Land, and in 1999 it acquired roughly half of Conrail jointly with Norfolk Southern, giving CSX the former New York Central routes into the Northeast. Its principal operating subsidiary is CSX Transportation, and the parent is headquartered in Jacksonville, Florida.

Customers are industrial shippers, utilities, agricultural producers, automakers, and intermodal partners including ocean carriers and domestic truckload and parcel companies that hand off long-haul containers. Pricing blends contract book business, often multi-year with fuel surcharges and escalators, with shorter tariff pricing. Competitive position rests on the network itself—dense route structure, terminal footprint, port access, and interchange with western Class I carriers—reinforced by the high fixed costs and regulatory barriers that make new entry effectively impossible. Its principal rival east of the Mississippi is Norfolk Southern, with trucking the ever-present alternative on shorter lanes. Revenue is overwhelmingly domestic, though export commodities moving through eastern ports are a meaningful contributor.
