Costco traces its lineage to Sol Price's Price Club, founded in San Diego in 1976, which pioneered the membership warehouse format for small businesses. The two companies merged in 1993 to form Price/Costco, and the combined firm was later renamed Costco Companies and then Costco Wholesale Corporation, adopting its current corporate identity in the late 1990s. The Price family interests were subsequently spun off as PriceSmart, which operates warehouse clubs in Latin America and the Caribbean. Costco is incorporated in Washington State and its common stock trades on Nasdaq.

Costco sells to individual consumers and small businesses who pay an annual fee to shop at its warehouses and on Costco.com, with the paid-member relationship functioning as the core contract. Warehouses are large, low-fixture buildings sited on owned real estate where feasible, stocked from a compact supply chain in which buyers commit large volumes to a limited vendor list in exchange for aggressive pricing. Competitive position rests on this scale-for-price bargain, high inventory turnover relative to peers, and disciplined markup caps on both branded and Kirkland goods.
