A defining transaction came in 1999 with the purchase of Kinder Morgan, Inc.'s predecessor assets from Sonat, followed by the 2005 acquisition of Terasen in Canada and the transformative 2012 deal for El Paso Corporation, which vaulted the firm into the top tier of North American natural gas transporters. In 2014 Kinder Morgan collapsed its complex family of publicly traded partnerships, including Kinder Morgan Energy Partners and El Paso Pipeline Partners, into a single C-corporation, simplifying governance and eliminating the incentive distribution rights structure that had characterized the prior model.
Mechanically, the company earns most of its cash by charging shippers reservation and throughput fees to use its pipelines, storage caverns, and terminal tankage under multi-year contracts, with a meaningful share structured so that customers pay for reserved capacity whether or not they use it. Customers include integrated majors, independent exploration and production firms, electric utilities converting to gas, LNG liquefaction developers exporting to global markets, refiners, and chemical manufacturers. Competitive position rests on the scale and interconnectedness of legacy rights-of-way, which are difficult and slow to replicate, and on proximity to demand centers along the Gulf Coast. Principal rivals include Enterprise Products Partners, Energy Transfer, Williams, and TC Energy, with operations concentrated across the United States and a modest Canadian and Mexican footprint.
