Copart operates the largest online salvage and specialty vehicle auction platform in the United States and, increasingly, worldwide. Land is the strategic moat: permitting new salvage yards is slow and contentious, and the company funds acquisitions and capacity almost entirely from internal cash flow, historically avoiding both dividends and buybacks in favor of reinvestment. Governance is founder-influenced, with Willis Johnson's family and long-tenured executives holding sway. Cyclicality, catastrophic weather events, used-vehicle price levels, and cross-border export policy round out the recurring watch list.

Copart was founded in 1982 by Willis Johnson, who acquired a single salvage yard in Vallejo, California, and expanded through a decade of steady yard acquisitions across the western United States. The company went public on Nasdaq in 1994, funding a national roll-up that consolidated a fragmented regional industry. A defining transformation came with the shift from live physical auctions to internet-only bidding via the VB2 and later VB3 platforms in the early 2000s, which broadened the buyer base internationally. International expansion followed into the United Kingdom, Germany, Spain, Brazil, and the Middle East. The company remains organized as a single Delaware-incorporated entity headquartered in Dallas, Texas, without significant spin-offs.

Mechanically, insurers and other sellers consign vehicles to a nearby Copart facility, where staff photograph, describe, and list them for a timed online auction, typically within a few weeks of arrival. Copart charges the seller a service fee and, more importantly, charges the winning bidder a schedule of fees that scale with hammer price, plus storage and gate fees. Competitive position rests on yard density near population centers, established insurer relationships often structured through long-term agreements, and the network effect of a large registered buyer base that raises realized prices and attracts more sellers. Its principal rival is IAA, now part of Ritchie Bros., with the two effectively splitting the North American salvage market; international markets remain more fragmented and are the current expansion frontier.
