Governance features include founder Jeff Bezos as executive chair with significant ownership, Andy Jassy as chief executive since 2021, and no dividend, with buybacks used sparingly. As a mega-cap constituent of major U.S. indices, passive flows meaningfully influence its shareholder base.

Jeff Bezos founded the company in 1994 in Bellevue, Washington, launching as an online bookseller in 1995 and taking it public on Nasdaq in 1997. Expansion into general merchandise, third-party marketplace listings, and Prime membership in 2005 transformed it into a broad e-commerce platform. Amazon Web Services launched publicly in 2006, seeding what became the dominant hyperscale cloud provider. Significant acquisitions include Zappos (2009), Kiva Systems (2012), Twitch (2014), Whole Foods Market (2017), Ring (2018), MGM (2022), and One Medical (2023). Bezos handed the chief executive role to Andy Jassy, previously head of AWS, in July 2021, while remaining executive chair of the board.

Retail customers are individual consumers who transact directly through Amazon storefronts, with Prime members providing a recurring subscription base tied to shipping, video, and music benefits. Third-party sellers pay referral fees, subscription fees, and optional fulfillment and advertising charges, making the marketplace a high-margin services layer atop first-party retail. AWS sells largely on consumption-based pricing to enterprises, startups, and public-sector customers, often under multi-year commitments. Competitive position rests on logistics density, Prime lock-in, marketplace network effects, and, in cloud, on service breadth and switching costs against Microsoft Azure and Google Cloud. Geographically, North America contributes the largest share of retail sales, while AWS revenue skews toward North American billing addresses despite global deployment.
