Capital allocation — the balance between dividends, buybacks, EV capital expenditure, and battery joint ventures with LG Energy Solution and Samsung SDI — is a persistent question, alongside board composition and the concentration of decision-making under long-tenured chief executive Mary Barra.

The company traces its origin to 1908, when William C. Durant consolidated Buick, Oldsmobile, Cadillac, and Oakland into General Motors, later adding Chevrolet in the 1910s. It grew through the twentieth century into the world's largest automaker under Alfred P. Sloan's multi-brand, multi-price-point model, but a decades-long erosion of North American market share culminated in a 2009 Chapter 11 bankruptcy and a U.S. Treasury-backed restructuring that wiped out existing equity, discontinued Pontiac, Saturn, Hummer, and Saab, and relisted a reorganized entity on the New York Stock Exchange in 2010. Subsequent transactions included the sale of the Opel and Vauxhall European operations to PSA in 2017 and the majority acquisition of the Cruise autonomous driving business.

Vehicles are sold primarily to independent franchised dealers in the United States, Canada, and export markets, with dealers then retailing to consumers and commercial fleet buyers including rental companies, government agencies, and corporate accounts. GM Financial originates loans and leases that support those dealer transactions, funding itself through securitization and unsecured debt markets. Competitive position rests on scale in truck and SUV manufacturing, the depth of the North American dealer footprint, and the vertically integrated Ultium battery and drive-unit platform. North America produces the overwhelming share of earnings; China, once a comparable profit pool operated through the SAIC-GM and SAIC-GM-Wuling joint ventures, has shrunk materially as domestic Chinese brands have taken share, while South America and the Middle East remain smaller contributors.
