About Valero Energy

Valero Energy Corporation is one of the largest independent petroleum refiners in the world, converting crude oil and other feedstocks into transportation fuels and petrochemical intermediates. Its Refining segment, which processes crude at a network of facilities across the U.S. Gulf Coast, Mid-Continent, West Coast, and the United Kingdom, is by far the dominant contributor to earnings and produces gasoline, diesel, jet fuel, asphalt, petrochemical feedstocks, and lubricants. A Renewable Diesel segment, operated through the Diamond Green Diesel joint venture with Darling Ingredients, produces low-carbon diesel and renewable naphtha. A smaller Ethanol segment operates corn-based plants in the Midwest. Refining margins overwhelmingly drive consolidated profit through the cycle.

Investors track the crack spread environment, since refining economics hinge on the differential between crude input costs and refined product prices rather than on absolute oil levels. Feedstock flexibility, Gulf Coast heavy-sour capacity, and access to discounted domestic and Canadian crudes shape relative margin capture versus peers. Regulatory exposure is substantial: Renewable Fuel Standard compliance costs (RINs), California's Low Carbon Fuel Standard, EPA emissions rules, and evolving climate policy all bear directly on economics. Capital allocation is closely watched, particularly the balance between shareholder returns through buybacks and dividends, maintenance capex, and low-carbon investments. Turnaround scheduling, refinery utilization, and safety performance are recurring structural concerns for holders.

Valero traces its origins to 1980, when it was spun off from Coastal States Gas Corporation as a natural gas subsidiary based in San Antonio, Texas. It entered refining in 1981 and progressively pivoted toward downstream operations, divesting the natural gas business by the late 1990s. The transformative period came through acquisitions, most notably the 2001 purchase of Ultramar Diamond Shamrock and the 2005 acquisition of Premcor, which vaulted Valero into the position of the largest independent U.S. refiner by capacity. In 2013, Valero spun off its retail fuel stations as CST Brands, sharpening its focus on refining and midstream. Diamond Green Diesel, formed with Darling Ingredients, has since become the platform for its renewable fuels expansion.

Valero sells refined products primarily on a wholesale basis to unbranded and branded distributors, marketers, other refiners, retailers, and industrial and commercial end users, with supply moved through pipelines, terminals, marine vessels, and rail. Pricing is largely benchmarked to spot and index markers, meaning realizations move with regional product markets rather than long-dated contracts. Competitive position rests on scale, refinery complexity, logistics integration, feedstock sourcing flexibility, and operating cost per barrel, allowing it to compete with peers such as Marathon Petroleum, Phillips 66, HF Sinclair, and integrated majors' downstream arms. The bulk of revenue is generated in the United States, with meaningful contributions from Canada and the United Kingdom, and exports flowing extensively from Gulf Coast facilities to Latin America and other markets.
