The company was founded in 1934 by Earl and Lillian Congdon in Richmond, Virginia, operating a single truck between Richmond and Norfolk. Through mid-century it expanded regionally in the Southeast, and following trucking deregulation under the Motor Carrier Act of 1980 it grew its geographic footprint aggressively through a combination of organic terminal openings and selective acquisitions of regional carriers, eventually assembling a coast-to-coast network. Old Dominion went public in 1991, listing on Nasdaq under the ODFL ticker. The current structure is a single publicly traded operating company headquartered in Thomasville, North Carolina, with no material subsidiaries or spin-offs; the Congdon family retains a significant ownership stake and long involvement in oversight.

Customers range from large national manufacturers and retailers to small and mid-sized shippers, sold through a direct sales force and priced under negotiated tariffs, contractual pricing agreements, and general rate increases applied periodically across the book. Shipments are tendered daily rather than under long-dated volume commitments, so pricing is repriced continuously as contracts renew. Competitive position rests on network density, on-time service performance, low cargo-claims ratios, and a company-owned fleet and terminal footprint that limits reliance on rail or purchased transportation. Principal rivals include Saia, XPO, ArcBest's ABF Freight, TFI International's TForce Freight, and Estes. Revenue is overwhelmingly domestic U.S., with cross-border Canada and Mexico traffic handled through interline partners.
